SFC and SC Unveil Cross‑Border IPO Document Regime for Dual Listings

Commerce Wire — The Securities and Futures Commission of Hong Kong (SFC) and the Securities Commission Malaysia (SC) have officially launched the Single Submission Arrangement for IPO applications.

Implementing the framework laid out in their earlier Memorandum of Understanding, the regime allows eligible enterprises to use one unified set of listing documents to pursue simultaneous listings in Hong Kong and Malaysia, cutting redundant compliance work and application costs for cross‑border IPOs and marking a new milestone in capital market connectivity between the two jurisdictions.

The regulatory arrangement applies to issuers planning a primary listing on the main board of one exchange and a concurrent secondary listing on the other. Its core components cover three key areas: a single listing prospectus and application document that must satisfy statutory and listing rules of both markets; a coordinated submission channel removing the requirement for separate filings in each jurisdiction; and dedicated dual‑listing review teams on both sides to manage cases and facilitate cross‑regulatory communication.

The two regulators signed the MoU back in July 2026. Apart from the simplified dual‑IPO framework, the accord broadened the scope of mutually recognised fund products including ETFs and REITs. In a related move, HKEX added Bursa Malaysia to its Recognised Stock Exchange list to pave the way for secondary listing applications by Malaysian main‑market issuers in Hong Kong.

Market practitioners note the new regime reduces administrative and compliance burdens for issuers tapping capital pools in Hong Kong and Southeast Asia, expands financing options for companies and diversifies investment choices for investors in both markets. Industry watchers also stress that shared submission documents do not mean identical review criteria. Each regulator will continue to conduct independent reviews under its domestic securities legislation and listing rules, and issuers remain accountable for ensuring the listing document meets disclosure and compliance obligations in both jurisdictions.

Market participants will monitor the progress of the first batch of IPO applications filed under this regime, alongside supporting arrangements for investor protection, post‑listing continuous disclosure and cross‑border enforcement. Stakeholders across global capital markets will observe whether the Hong Kong‑Malaysia regulatory cooperation model can serve as a reference for connectivity initiatives across other Asia‑Pacific markets.
