HONG KONG, 21 August 2026 – The Stock Exchange of Hong Kong Limited (SEHK), a wholly-owned subsidiary of Hong Kong Exchanges and Clearing Limited (HKEX), announced a temporary waiver. Subject to prescribed conditions and safeguards, eligible new listing applications will be valid for 12 months from the date of submission of the listing application form, extended from the existing six-month period. The temporary arrangement runs for three years until 20 August 2029, while regulatory standards and investor protection remain unchanged.

Under the original Main Board and GEM Listing Rules, a listing application lapses six months after filing. Issuers unable to complete listing within the window often need to refile with updated documents, creating repetitive administrative work for issuers, sponsors, professional advisers and regulators. The waiver offers greater timetable flexibility, reduces refiling frequency and redundant document updates, allowing stakeholders to focus on improving the quality of listing materials.

Eligibility criteria apply. The application must not have been suspended by SEHK in a comment letter; nor have the SFC or SEHK issued a material issues letter or direct information request. Applications may still qualify if all regulatory concerns are fully resolved and accepted by regulators before the initial six-month expiry. During the extended validity period, issuers must continue to comply with all Listing Rules and disclose up-to-date business and financial information. Certain events such as a change of sponsor will still cause the application to lapse, requiring a fresh submission.

The waiver covers valid applications as at the announcement date, as well as new and resubmitted applications filed on or after 21 August 2026.

Ms Katherine Ng, Head of Listing at HKEX, stated HKEX continues to enhance the efficiency and competitiveness of Hong Kong’s listing regime while maintaining robust regulation and safeguarding public interests. This extension follows the Enhanced Application Timeframe jointly launched by SEHK and the SFC in October 2024, reinforcing Hong Kong’s position as a leading global IPO fundraising hub.

Market observers note the policy benefits issuers waiting for favourable market windows, easing the prior problem of mass refiling amid weak market sentiment. HKEX will monitor implementation throughout the three-year waiver period and review the regime as needed, including potential public consultation.
